Pursuant to Rule 506(b) of Regulation D, the use of general solicitation or advertising to market private funds is prohibited. Interests in Covemark’s funds are offered through private placement, which generally requires fund sponsors to obtain certain information from potential investors prior to offering an interest in the fund (including providing offering documents or marketing materials). Investment in a private fund may be limited to investors that meet certain regulatory standards.
